Terms and Conditions of Use

These terms and conditions (the "Terms") govern your use of the Flowmode website and mobile app (collectively, the "Service"). By using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

Company Information

Flowmode is a digital service offered by Privasim Technologies Inc., a company incorporated in the Republic of the Philippines with its principal place of business at Holy Spirit, Quezon City, Republic of the Philippines.

Effective Date

These Terms are effective as of November 5th, 2023.

Account Creation and Use

To use the Service, you must create an account. You agree to provide accurate and complete information when creating your account and to keep your account information up-to-date. You are responsible for maintaining the confidentiality of your account password and for all activity that occurs under your account.

User Content

The Service allows you to create and share user content, such as interactive data flows and presentations. You are responsible for all user content that you upload to or post on the Service. You agree that your user content will not violate any third-party rights, including intellectual property rights or rights of privacy or publicity. You agree to grant Flowmode a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, distribute, and publicly display your user content for the purpose of providing the Service.

Prohibited Uses

You may not use the Service for any purpose that is unlawful or prohibited by these Terms. You agree not to:

• Use the Service to create or share any content that is harmful, threatening, abusive, harassing, defamatory, obscene, vulgar, pornographic, violent, or racially, ethnically, or otherwise objectionable.
• Use the Service to infringe on the intellectual property rights of any third party.
• Use the Service to transmit any viruses or other malicious code.
• Use the Service to spam or otherwise send unsolicited commercial emails.
• Use the Service to impersonate any other person or entity.
• Use the Service to interfere with the use and enjoyment of the Service by others.

Termination

Flowmode may terminate your access to the Service at any time, for any reason, and without notice. Flowmode may also block your access to the Service if you violate any of these Terms.

Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. Flowmode makes no warranties of any kind, express or implied, with respect to the Service, including but not limited to any warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability

In no event shall Flowmode be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for lost profits, goodwill, use, data, or other intangible losses, arising out of or in connection with your use of the Service, even if Flowmode has been advised of the possibility of such damages.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines.

Entire Agreement

These Terms constitute the entire agreement between you and Flowmode with respect to your use of the Service and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck from these Terms and the remaining provisions shall remain in full force and effect.

Waiver

No waiver of any provision of these Terms shall be effective unless in writing and signed by both parties.

Notices

All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered in person, upon the first business day following deposit in the United States mail, postage prepaid, certified or registered, return receipt requested, addressed as follows:

Changes to These Terms

We may update our Terms and Conditions from time to time. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Privasim Technologies Inc. and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Privasim Technologies Inc.

Indemnification

You agree to defend, indemnify, and hold harmless Privasim Technologies Inc. and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password, or b) a breach of these Terms.

Dispute Resolution

For any dispute you have with Privasim Technologies Inc., you agree to first contact us and attempt to resolve the dispute with us informally. If Privasim Technologies Inc. has not been able to resolve the dispute with you informally, we each agree to resolve any claim, dispute, or controversy (excluding claims for injunctive or other equitable relief) arising out of or in connection with or relating to these Terms through binding arbitration or (for qualifying claims) in small claims court.

Service Modifications

Privasim Technologies Inc. reserves the right at any time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that Privasim Technologies Inc. shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

Force Majeure

Privasim Technologies Inc. shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Privasim Technologies Inc.'s reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation.

Third-Party Links

The Service may contain links to third-party websites or services that are not owned or controlled by Privasim Technologies Inc. Privasim Technologies Inc. has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites or services. All rights, title, and interest in and to the Service (excluding Content provided by users) are and will remain the exclusive property of Privasim Technologies Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of both the Republic of the Philippines and foreign countries.

Content Removal

Privasim Technologies Inc. reserves the right to remove or disable access to any Content for any or no reason, including Content that, in Privasim Technologies Inc.'s sole discretion, violates the Terms. Privasim Technologies Inc. may take these actions without prior notification to you or any third party. Removal or disabling of access to Content shall be at our sole discretion, and we do not promise to remove or disable access to any specific Content.

Content Backup

Privasim Technologies Inc. is not responsible for the backup of any Content. You are solely responsible for creating backup copies of and replacing any Content you post or store on the Service at your sole cost and expense.

Rights in User Content Granted by You

By making any Content available through the Service, you hereby grant to Privasim Technologies Inc. a non-exclusive, transferable, sublicenseable, worldwide, royalty-free license to use, copy, modify (for formatting purposes), publicly display, publicly perform, and distribute your Content on and through the Service or in the Service's marketing materials.

Your Responsibility for User Content

You are solely responsible for all your Content. You represent and warrant that you own all your Content or you have all rights that are necessary to grant us the license rights in your Content under these Terms.

Intellectual Property Infringement

We reserve the right to remove Content alleged to be infringing without prior notice, at our sole discretion, and without liability to you. In appropriate circumstances, Privasim Technologies Inc. will also terminate a user's account if the user is determined to be a repeat infringer.
